Ceccarelli e Silvestri and Simmons & Simmons in the agreement for the acquisition of 60% of Pedini

The firm assisted Radifin Srl in the sale of a majority stake in Pedini, a company engaged in the production of high-end kitchens, bathrooms, and living spaces, to the Chinese group Hua Wei Mei Lin Holdings, active in the furniture sector. As part of the transaction, the firm negotiated and defined the share sale agreement, the shareholders’ agreement between Radifin and the new partner Hua Wei, as well as all ancillary agreements related to the transaction. In the same context, Ceccarelli & Silvestri also assisted the CEO of Pedini in negotiating and defining a specific management agreement to govern all aspects related to the role (e.g., term of office, compensation, powers and delegations, bad leaver/good leaver triggering events).
