The firm assisted the shareholders of Namirial SpA, a leading company in software solutions that enable businesses to securely digitalize their processes, in the sale of a controlling stake to a corporate vehicle held by Ambienta SGR, a pan-European private equity fund focused on sustainability. As part of the transaction, the firm also assisted the selling shareholders in reinvesting in the corporate vehicle held by the Ambienta Fund, by negotiating specific investment contracts and shareholders’ agreements (ensuring the selling shareholders certain rights through the allocation of special classes of shares). Additionally, the firm assisted the management of Namirial SpA in negotiating and defining a stock option plan (through which Namirial granted its managers shares with specific economic rights).
